Standard: cash payment with a bank confirmation
-
01
Set the capital
GmbH from CHF 10,000, AG from CHF 50,000 share capital. The capital is a deposit and stays equity of the company. -
02
Pay it in at a bank
The cash contribution is paid in at a bank in Liechtenstein, the EEA or Switzerland. For a GmbH, each contribution must be fully paid in or covered by contributions in kind at formation (Art. 391 para. 5 PGR). -
03
File the bank confirmation
The bank confirmation of the payment goes to the commercial register with the application, as set out in the Office of Justice guidance on the GmbH (German).
Crypto and stablecoins: only as a contribution in kind, case by case
Capital in crypto or stablecoins is not a cash payment. Legally, at most a contribution in kind is possible. For a GmbH, the object and credited amount of a contribution in kind must be stated in the articles (Art. 392 para. 2 PGR), and the contribution must be valued. For an AG, Art. 285 PGR governs the expert report. The value must cover the capital even if the price moves.
Whether this works in your case we check only on request, case by case. There is no commitment, so plan with a cash payment. Wording of the provisions: PGR on gesetze.li.
