The legal background
Art. 180a PGR
At least one board member authorised to manage and represent the company must meet the requirements of Art. 180a PGR. There are two ways: your own managing director resident in the EEA or Switzerland, or a licensed Liechtenstein trustee (Treuhänder). We clarify which one fits your business model before formation. Licensed trustees are listed in the FMA register.
Own managing director
A GmbH with your own managing director resident in the EEA or Switzerland is a good option if you run the business yourself. Instead of a trustee mandate you pay a salary or fee. The company still needs a seat and a delivery address in Liechtenstein, for example a desk or private office at the Hub.
Online with eID
The LLV offers the online formation for a one-person GmbH (1 shareholder, 1 managing director), without a deed. Among other things it asks for a capital payment confirmation from a bank and a certified specimen signature of the managing director. With several founders, e-Beurkundung works: everyone signs remotely with eID.li and a licensed Liechtenstein notary draws up the deed live via ebeurkundung.li (NotarG Art. 49a ff.).
Capital, crypto and stablecoins
The capital payment needs a bank confirmation. We look at crypto or stablecoin contributions only on request; there is no commitment that they will work.

Frequently asked questions
How much does it cost to form a GmbH in Liechtenstein?
Official fees are CHF 780 to 810 online and about CHF 830 to 880 with certified signatures. The Digihub incorporation service costs CHF 1,000. On top comes the capital of at least CHF 10,000 as a deposit. Recurring, plan about CHF 5,000 per year for the trustee under Art. 180a PGR and up to CHF 1,800 minimum tax.
Is the share capital a cost?
No. The capital is a deposit and stays equity of the GmbH. It must be fully paid in (PGR Art. 122); afterwards the company can use it for its business.
Can I form the GmbH online with eID?
Yes, if it is a one-person GmbH (1 shareholder, 1 managing director). The LLV asks, among other things, for a capital payment confirmation from a bank and a certified specimen signature of the managing director. With several founders you can also sign remotely by e-Beurkundung: with eID.li, while a licensed Liechtenstein notary draws up the deed live via ebeurkundung.li. Limits: the Office of Justice may require physical appearance (PGR Art. 963 para. 4a), remote signature certification only works together with an electronic deed (NotarG Art. 49e para. 3), and a stand-alone specimen signature is still certified in person. The notary fee for the electronic deed is on request. Process and limits: online notarisation in Liechtenstein.
Do I need a trustee on the board?
Not necessarily. Art. 180a PGR gives you two ways: your own managing director resident in the EEA or Switzerland, or a licensed Liechtenstein trustee (Treuhänder) on the board. A GmbH with your own managing director is a good option if you run the business yourself. We clarify which way fits before formation.
Can I contribute the capital in crypto or stablecoins?
The capital payment needs a bank confirmation. Crypto or stablecoin contributions are only possible on request, with no commitment.
How binding is the calculator?
